Terms of Use (EULA) & Terms of Service

These Terms govern your access to and use of Vertexly (the “Service”), including the Vertexly mobile application (the “Licensed Application”) when downloaded from the Apple App Store or Google Play. By using the Service, you agree to be bound by these Terms and our Privacy Policy.

Apple App Store — Licensed Application End User License Agreement (EULA)

The following terms apply to the Vertexly Licensed Application when you obtain it through the Apple App Store. They supplement the rest of this document and are required under Apple’s App Store terms.

1. Acknowledgement

You and Vertexly acknowledge that this EULA is concluded between you and Vertexly only, and not with Apple Inc. (“Apple”). Vertexly, not Apple, is solely responsible for the Licensed Application and the content thereof. This EULA may not provide for usage rules for the Licensed Application that conflict with the Apple Media Services Terms and Conditions as of the effective date of this EULA (which you acknowledge you have had the opportunity to review).

2. Scope of License

The license granted to you for the Licensed Application is limited to a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Licensed Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing where applicable.

3. Maintenance and Support

Vertexly is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA or as required under applicable law. You and Vertexly acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4. Warranty

Vertexly is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed in this EULA. This EULA provides that, in the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you (if any was paid for the app itself); and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Vertexly’s sole responsibility.

Subscription billing, renewals, and refunds for in-app purchases and auto-renewable subscriptions are handled by Apple under Apple’s policies; see Section 7 below and your Apple ID subscription settings.

5. Product Claims

You and Vertexly acknowledge that Vertexly, not Apple, is responsible for addressing any claims of you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This EULA does not limit Vertexly’s liability to you beyond what is permitted by applicable law.

6. Intellectual Property Rights

You and Vertexly acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party’s intellectual property rights, Vertexly, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim.

7. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third Party Terms of Agreement

You must comply with applicable third party terms of agreement when using the Licensed Application. For example, if you use Vertexly over a mobile network, you must not be in violation of your wireless data service agreement. Use of AI, cloud, and analytics features may also be subject to third-party provider terms described in our Privacy Policy.

10. Third Party Beneficiary

You and Vertexly acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third party beneficiary thereof.

You must be at least 13 years old to use Vertexly. By creating an account, you confirm that you meet this requirement.

If you are under 18, you confirm that you have permission from your parent or legal guardian to use the Service.

You are responsible for keeping your login credentials secure. You are responsible for activity that occurs under your account.

2. Educational Purpose & Exam Board Disclaimer

Vertexly is an educational tool designed to supplement, not replace, formal education.

Our mock exams and curriculum pathways may mirror the style or format of major UK exam boards, including AQA, Edexcel, OCR, and WJEC.

Vertexly is independent and is not affiliated with, endorsed by, or directly associated with any official examination board.

We do not guarantee academic outcomes, exam results, grades, or test performance.

3. Artificial Intelligence Disclaimer

Vertexly uses third-party Artificial Intelligence tools to help grade answers, evaluate workings, and provide feedback.

AI can make mistakes. Feedback may occasionally be incorrect, incomplete, or misleading.

You should not rely solely on AI feedback for critical academic understanding. You should check important learning against official textbooks, mark schemes, or qualified teachers.

By submitting answers, workings, or images, you agree that this data may be securely processed by third-party AI providers to generate feedback. Do not upload sensitive personal information.

4. Academic Integrity & Honor Code

Vertexly is a tool for learning, not a shortcut for cheating.

By using this platform and our AI Mentor, Tan, you agree to use these features solely to improve your understanding of mathematics. Vertexly should never be used to complete homework, assignments, or assessments on your behalf.

True mastery comes from the struggle of solving a problem yourself. Using AI to bypass the thinking process only hurts your performance in the real exam. Use Tan to explain concepts, find your mistakes, and guide your logic—but always ensure the final work is your own.

5. Acceptable Use and Conduct

You agree to use Vertexly respectfully and lawfully. You must not:

6. Virtual Items and Gamification

Vertexly includes gamified features such as XP, Mastery Rings, Streak Freezes, and unlockable avatars.

These virtual items have no real-world monetary value. They cannot be sold, transferred, exchanged, or redeemed for cash or goods.

We may manage, modify, rebalance, remove, or replace virtual items at our discretion.

7. Vertexly Pro Subscriptions & Billing

Vertexly offers a free tier with access to core revision features, subject to fair-use limits (for example daily caps on new-topic practice, Tan Chat messages, and mock exams). We will always keep a meaningful free way to revise.

Vertexly Pro is an optional auto-renewing subscription that unlocks additional features (see the in-app Free vs Pro comparison).

Subscription titles, length, and price (UK pricing — local store prices may vary by region and taxes):

Payment is charged to your Apple ID or Google Play account at confirmation of purchase. Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period at the price shown, unless you change plan or cancel.

Manage or cancel anytime in your device subscription settings (Apple: Settings → Apple ID → Subscriptions; Google Play: Subscriptions). Subscription billing and refunds are handled by Apple or Google under their respective policies; we cannot issue store refunds directly — contact Apple Support or Google Play support for billing disputes.

Early adopters who joined before 20 June 2026 may receive complimentary Pro access until 20 September 2026 without charge, as described in the app.

8. Intellectual Property

All code, design, branding, text, algorithms, and infrastructure within Vertexly are owned by Vertexly or its licensors.

You retain ownership of mathematical workings, answers, or images you upload. By uploading content, you grant Vertexly a worldwide, royalty-free, non-exclusive licence to use, store, display, and process that content to operate and improve the Service.

Vertexly may use third-party avatar styles and assets under their respective licences, including DiceBear-related open-source licences where applicable.

9. Disclaimers of Warranties

To the maximum extent permitted by law, Vertexly is provided on an “as is” and “as available” basis.

We do not guarantee that the Service will always be available, uninterrupted, error-free, secure, or free from harmful components.

We disclaim all warranties where legally permitted, including implied warranties of fitness for a particular purpose and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Vertexly, its directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages.

This includes loss of profits, data, goodwill, educational outcomes, or inability to use the Service.

11. Indemnification

You agree to indemnify and hold harmless Vertexly and its affiliates from claims, liabilities, damages, losses, costs or expenses arising from your breach of these Terms or misuse of the Service.

12. Modifications to the Service and Terms

We may modify, suspend, or discontinue the Service, or any part of it, at any time.

We may update these Terms from time to time. If we make material changes, we will update the date at the top and, where appropriate, notify users in-app.

Your continued use of Vertexly after updated Terms take effect means you accept the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms or your use of Vertexly will be subject to the exclusive jurisdiction of the courts of England and Wales.
